Corporate Counsel
We are currently partnered with one of the largest sustainability manufacturers in the US, currently looking for a Senior Legal Counsel. For over 140 years, they have been reducing waste, recycling, and reproducing unused ingredients to create new products across multiple markets.
They are searching for a motivated and well-rounded lawyer to support the legal team in a variety of matters and responsibilities across the department. This role offers high visibility and provides the opportunity to lead across multiple transactions for the company.
*This is an 5 days a week onsite opportunity in Dallas ,Texas
Responsibilities:
- Draft and negotiate commercial agreements including: Supply Chain, Distribution, Vendor, consulting, MSAs, NDAs, and more
- Lead and manage all legal aspects of mergers, acquisitions, and divestitures, including due diligence, contract negotiation, and integration. Provide strategic advice to senior management on deal structure and risk assessment
- Oversee and manage legal matters related to real estate transactions, including lease agreements, property acquisitions, and zoning compliance. Ensure all real estate activities align with company policies and regulatory requirement
- Advise on employment law compliance: Provide guidance on federal, state, and local employment laws, including wage and hour regulations, employee benefits, and workplace safety. Ensure company policies and practices are legally compliant and up-to-date
- Manage and protect the company's intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets. Develop strategies for IP enforcement and defense, and oversee IP-related litigation
Qualifications and Skills:
- Law degree from an ABA-accredited law school.
- Current active license to practice law
- 10+ years of experience in private practice and/or in-house
- A background in Litigation and/or employment law is preferred
