Corporate Associate Attorney
A leading AmLaw 200 law firm is seeking a mid‑level Corporate Associate with a strong background in mergers and acquisitions to join its growing corporate practice. This is an excellent opportunity for an attorney looking to work on sophisticated transactions alongside experienced partners in a collaborative, team‑oriented environment.
Responsibilities:
- Represent public and private companies, private equity sponsors, and strategic investors in domestic and cross‑border M&A transactions
- Draft, review, and negotiate purchase agreements, merger agreements, disclosure schedules, and ancillary transaction documents
- Manage due diligence processes and coordinate with specialists across tax, finance, and regulatory teams
- Support deal execution from initial structuring through closing
- Interact directly with clients, opposing counsel, and internal deal teams
- Assist with general corporate matters, including entity formation, governance, and commercial agreements, as needed
Qualifications:
- 4+ years of experience practicing corporate law with a focus on mergers and acquisitions
- Experience handling complex M&A transactions at a law firm
- Strong drafting, negotiation, and analytical skills
- Ability to manage multiple transactions and deadlines in a fast‑paced environment
- Excellent written and verbal communication skills
- Licensed and in good standing in at least one U.S. jurisdiction (Ideally California)
