Corporate Associate Attorney
We are currently partnered with a highly regarded client seeking a Corporate M&A Associate Attorney to join its growing practice.
This is an excellent opportunity to work on sophisticated mergers and acquisitions and general corporate transactions, with a particular focus on upper middle market deals alongside a collaborative, high-performing team.
Corporate Attorney Key Responsibilities:
* Advise clients on a broad range of corporate matters, including mergers and acquisitions, divestitures, and strategic transactions
* Draft, review, and negotiate key transaction documents, including purchase agreements, shareholder agreements, and ancillary deal documentation
* Support transactions through all phases, including due diligence, structuring, negotiation, and closing
* Lead and coordinate due diligence processes, including reviewing data rooms and preparing diligence summaries
* Work closely with private equity sponsors, corporate clients, and cross-functional deal teams
* Manage timelines, junior team members, and deal logistics to ensure smooth execution of transactions
Corporate Attorney Qualifications:
* 4+ years of corporate M&A experience at a law firm
* Experience working on upper middle market transactions, ideally representing private equity sponsors and/or corporate clients
* Juris Doctor (JD) from an accredited law school
* Strong drafting and negotiation skills with excellent attention to detail
* Ability to manage multiple transactions in a fast-paced environment
* Strong interpersonal and client-facing skills
