Corporate Associate Attorney (Mid-Senior Level)
We are currently partnered with an AmLaw200 firm seeking a highly motivated and experienced Corporate Associate to join their dynamic and growing corporate practice. The ideal candidate will have a minimum of four years of substantive experience in Mergers & Acquisitions (M&A) and Private Equity transactions, gained at a reputable law firm. This is an excellent opportunity for a mid-senior level attorney to work on high-profile deals and collaborate with a team of top-tier professionals in a fast-paced, client-focused environment.
Key Responsibilities:
- Lead and support complex M&A and private equity transactions, including structuring, negotiation, and execution.
- Draft and review a wide range of transactional documents, including purchase agreements, shareholder agreements, and operating agreements.
- Conduct due diligence and manage deal processes from inception to closing.
- Advise clients on corporate governance, general corporate matters, and strategic business initiatives.
- Collaborate with cross-functional teams and contribute to business development efforts.
Qualifications:
- J.D. from an accredited law school and admission to the relevant state bar.
- Minimum of 4 years of corporate transactional experience, with a strong focus on M&A and private equity.
- Prior experience at a nationally recognized law firm is required.
- Excellent drafting, negotiation, and communication skills.
- Strong analytical abilities and attention to detail.
- Ability to manage multiple projects and deadlines in a fast-paced environment.
