A publicly traded technology company is seeking a Senior Commercial Counsel to join its growing legal team.
This is an opportunity to work closely with business leaders across the organization and provide practical legal guidance supporting commercial transactions, procurement initiatives, operational growth, and strategic business objectives.
The Opportunity
The Senior Commercial Counsel will serve as a key legal partner to stakeholders across procurement, finance, operations, technology, and corporate functions.
This individual will be responsible for drafting, reviewing, negotiating, and advising on a broad range of commercial agreements while helping support the continued growth and evolution of the business.
The ideal candidate will bring strong commercial contracting experience, excellent business judgment, and the ability to operate effectively in a fast-paced and collaborative environment.
Key Responsibilities
- Draft, review, negotiate, and manage a broad range of commercial agreements.
- Support procurement and vendor contracting activities across the organization.
- Advise internal business stakeholders on contractual risk, compliance, and commercial issues.
- Develop and improve contract templates, policies, and legal processes.
- Partner with cross-functional teams to support operational and strategic initiatives.
- Identify legal and business risks while developing practical, business-oriented solutions.
- Assist with compliance, corporate, privacy, and other general legal matters as needed.
- Coordinate with outside counsel when appropriate.
- Support legal operations and contribute to the continued development of the legal function.
Qualifications
- J.D. from an accredited law school and active membership in at least one U.S. state bar.
- 7+ years of legal experience, including significant commercial contracting experience.
- Strong background negotiating complex commercial agreements, vendor contracts, procurement agreements, SaaS agreements, technology transactions, and other strategic commercial arrangements.
- Experience supporting procurement, vendor management, supply chain, or enterprise contracting functions.
- Excellent drafting, negotiation, and communication skills.
- Ability to manage multiple priorities and stakeholders in a fast-paced environment.
- Strong business judgment and practical problem-solving abilities.
Preferred Experience
- In-house experience supporting technology companies or other complex commercial organizations.
- Experience with procurement, vendor management, SaaS, cloud, infrastructure, technology, or enterprise services agreements.
- Familiarity with privacy, data protection, and regulatory compliance matters.
- Experience working within a publicly traded company environment.
- Experience supporting technology infrastructure, enterprise software, cloud, digital infrastructure, semiconductor, data center, or other highly technical businesses.
- San Francisco Bay Area presence required.
