Chief Legal Officer

A privately held company in the renewable energy sector is seeking a Chief Legal Officer to lead its legal and regulatory functions.

This role oversees all legal, compliance, and governance matters. Responsibilities include advising senior leadership and the Board, managing commercial transactions, regulatory compliance, litigation, employment law, and intellectual property.

Responsibilities:

  • Lead and manage all legal operations, including contract negotiation, litigation, intellectual property, and corporate transactions (M&A, financing, strategic partnerships).
  • Serve as the principal legal advisor to the executive team and Board on matters including corporate governance, commercial transactions, employment law, and regulatory compliance.
  • Support Board governance activities, including preparation of meeting materials, agendas, and minutes.
  • Oversee compliance frameworks and ensure adherence to applicable federal, state, and industry-specific regulations.

Requirements:

  • JD from an accredited U.S. law school; active bar membership.
  • Minimum 12 years of legal experience, including in-house leadership.
  • Proficiency in corporate, commercial, regulatory, and employment law.
  • Experience with M&A, financing, and strategic transactions.
  • Familiarity with regulatory frameworks in energy or other regulated sectors.
  • Prior Board-facing experience.
