Associate General Counsel - Securities & Corporate Governance
We are seeking an experienced attorney to lead securities law and corporate governance matters. This role involves preparing SEC filings (8-K, 10-Q, 10-K, proxy statements), supporting annual shareholder meetings, advising on corporate disclosures, and overseeing governance documentation. The attorney will also support board and committee processes and supervise governance staff.
Key Responsibilities
Draft and review SEC filings and Section 16 reports
Advise on external communications, governance, executive compensation, and NYSE compliance
Monitor SEC and governance trends, including proxy advisory firm guidance
Prepare board and committee materials and conduct governance research
Oversee corporate governance documentation and provide internal training
Qualifications
J.D. from an accredited law school
7-12 years of experience in securities and corporate law, including public company representation
Skills
Deep knowledge of SEC reporting and corporate governance
Excellent judgment, communication, and organizational skills
Strong collaboration and leadership abilities
Work Environment
On-site role with occasional travel. Continuing legal education is supported.
