Job Overview

A top-tier investment management firm is looking to hire a Senior Paralegal with strong mutual fund and/or corporate paralegal experience. In this highly visible role, you will collaborate daily on various fund and governance projects with the firm's legal team and play a key factor in executive meeting materials. Key Responsibilities

  • Assisting with the preparation and updates of fund registration statements, including Part Cs and prospectus supplements.
  • Supporting documentation for fund organization, reorganization, modifications, and liquidations.
  • Assisting in product development and the launch of mutual funds and ETFs.
  • Managing administrative tasks such as uploading and organizing Board materials in governance platforms.
  • Coordinating agendas, resolutions, and materials for Board and Committee meetings; compiling reports for Board Books.
  • Preparing and executing fund contracts.
  • Reviewing disclosure documents for assigned funds, including shareholder reports and regulatory filings.
  • Assisting with proxy materials and tender offer documentation for closed-end funds.
  • Maintaining internal document repositories and organizing electronic fund records.
  • Keeping officer and portfolio manager listings current in internal databases.
  • Managing calendars and tickler files to ensure timely completion of projects and regulatory deadlines.

Qualifications

  • Bachelor's degree required; paralegal certificate preferred.
  • Minimum of 3 years' experience as a paralegal in a mutual fund or corporate legal department or comparable law firm experience.
  • Knowledge of open-end, closed-end, and exchange-traded funds.
  • Proficiency in Microsoft Office Suite and ability to learn new systems quickly.
  • Familiarity with governance software is preferred.
  • Detail-oriented with excellent organizational and communication skills.
