The company operates critical water, wastewater, and natural gas infrastructure and is recognized for its strong commitment to operational excellence, environmental stewardship, and long-term growth through strategic acquisitions and infrastructure investment.
The Opportunity
Reporting to the VP & Senior Managing Counsel, the Senior Counsel will serve as a strategic legal advisor supporting key business units and operating subsidiaries. This role offers broad exposure across M&A, commercial transactions, regulatory matters, environmental litigation, and day-to-day business operations.
Key Responsibilities
- Lead acquisitions from due diligence through closing.
- Draft, review, and negotiate acquisition agreements and commercial contracts.
- Provide legal counsel to business leaders on operational and strategic matters.
- Support regulatory compliance and utility-related legal issues.
- Manage outside counsel on transactions, litigation, and special projects.
- Advise on real estate, employment, and general corporate matters.
- Develop and review policies, procedures, and risk management initiatives.
- Partner cross-functionally with operations, finance, HR, and executive leadership.
Qualifications
- Juris Doctor (JD) required.
- Active Pennsylvania Bar admission required.
- 10+ years of legal experience.
- 2+ years of in-house legal experience preferred.
- Strong corporate transactional and M&A background.
- Experience leading acquisitions from diligence through closing.
- Demonstrated experience drafting and negotiating complex agreements.
- Utility, energy, infrastructure, or other regulated industry experience preferred.
- Strong communication, negotiation, and stakeholder management skills.
