Senior Corporate Counsel
ROLE OVERVIEW
This position leads complex contract drafting, negotiation, and lifecycle management across a wide range of commercial and operational functions. The role also oversees the company's contract management system and contributes to broader legal-process initiatives.
Reports to: Assistant General Counsel
Location: Remote, operating on Eastern or Central time
BASIC QUALIFICATIONS
* At least 3 years with an AM Law 100 firm
* 4+ years as in-house counsel
* Strong command of CDA, MSA, and SOW drafting and negotiation
* J.D. from an accredited law school plus 8+ years of directly relevant work
* Active bar membership in state of residence * Experience in pharmaceuticals or medical devices is advantageous KEY RESPONSIBILITIES
* Independently draft, negotiate, and manage domestic and international agreements, including distribution, R&D, manufacturing and supply, MSAs with SOWs, SaaS, clinical research, material transfer, HCP/HCO, consulting, and nondisclosure contracts.
* Develop original contract language from scratch to address legal and business risks.
* Identify risks and communicate concise, actionable guidance to internal stakeholders.
* Serve as the primary legal contact for teams such as international operations, manufacturing, regulatory, quality, formulation and process development, IT, HR, finance, and project management.
* Provide practical, business-oriented contractual advice and ensure alignment with internal policies.
* Partner with internal teams and external vendors to resolve legal or contractual questions.
* Train internal teams on contract templates, workflows, and effective contracting practices.
* Support the creation and rollout of updated legal policies, procedures, and templates.
* Help maintain and enhance the contract management system, ensuring accuracy of the repository.
* Identify opportunities to improve efficiency and productivity within the legal function.
* Provide due-diligence support as needed and contribute to cross-department or companywide projects.
PREFERRED QUALIFICATIONS
* 8+ years of negotiation and drafting experience within biotech or pharmaceutical environments
* Background in pharmaceuticals, medical devices, OTC, or cosmetics
* 5+ years supporting commercial teams
* Hands-on experience improving or administering contract management systems
* Experience advising and influencing senior leadership
* Strong understanding of biotech/pharma regulatory and commercial dynamics
* Ability to translate complex scientific and legal issues into practical guidance
* Creative problem-solving with excellent written and verbal communication skills
* Highly independent and efficient work style, with availability during Eastern time business hours
* Strong commitment to client service and professional integrity
