M&A (Private Equity) Attorney - Senior Level

A leading transactional platform with a strong reputation in private equity deal work is seeking a highly skilled and motivated M&A Attorney to join its team in Dallas, Texas. This role is ideal for a seasoned attorney at the Senior Associate or Of Counsel level, looking for high-impact work in a collaborative, business-oriented environment.

This position offers the opportunity to serve as a subject matter expert in private equity transactions, working closely with fund clients and their portfolio companies. The ideal candidate will be a detail-oriented, academically distinguished attorney with strong drafting skills and a practical, client-first approach.

Key Responsibilities

  • Advise private equity firms and portfolio companies on M&A, LBOs, equity investments, and general corporate matters
  • Draft and negotiate key transaction documents, including:
    • Purchase and merger agreements
    • LLC and LP agreements
    • Management equity and co-investment arrangements
  • Provide strategic guidance on deal structuring and execution
  • Interface directly with clients and manage deal teams
  • Collaborate with colleagues across corporate, tax, and finance disciplines

Qualifications

  • J.D. from an ABA-accredited law school with top academic credentials
  • 5+ years of experience advising private equity clients on complex transactions
  • Licensed in Texas or eligible to waive in
  • Strong communication, drafting, and client management skills
