Position Overview:

A leading Asset Manager is seeking a Legal Assistant with 5-7 years of experience in fund and investment operations to join their dynamic legal team. The ideal candidate will play a critical role in supporting legal and operational functions, ensuring the smooth execution and maintenance of legal documentation related to investment transactions and fund governance.

Key Responsibilities:

  • Legal Documentation Management:
    • Draft, review, and manage legal documents related to fund operations and investment transactions.
    • Maintain and organize transaction documents, including subscription agreements, side letters, and closing binders.
    • Track and ensure timely execution of legal documents across internal and external stakeholders.
  • Corporate Governance Support:
    • Prepare and maintain corporate resolutions, board consents, and other governance materials.
    • Assist in entity formation and maintenance, including regulatory filings and compliance documentation.
  • Operational Coordination:
    • Collaborate with investment, operations, and compliance teams to support fund launches, closings, and ongoing investment activity.
    • Monitor and update internal systems with legal and transactional data.
  • Recordkeeping & Compliance:
    • Maintain accurate and up-to-date records of legal documents and corporate filings.
    • Ensure compliance with internal policies and regulatory requirements.
  • Administrative Support:
    • Schedule meetings, manage calendars, and coordinate logistics for legal team activities.
    • Liaise with external counsel and service providers as needed.

Qualifications:

  • Bachelor's or Associate's Degree preferred; paralegal certification or legal studies preferred.
  • 5-7 years of experience in a legal assistant or paralegal role within asset management, private equity, or financial services.
  • Strong understanding of fund structures, investment documentation, and corporate governance.
  • Exceptional organizational skills and attention to detail.
  • Proficiency in Microsoft Office Suite and document management systems.
  • Ability to manage multiple priorities in a fast-paced environment.

Preferred Attributes:

  • Experience with legal entity management platforms (e.g., Diligent Entities, GEMS).
  • Familiarity with SEC and other regulatory filings.
  • Strong interpersonal and communication skills.
