This position centers on advising the business on complex, multi‑jurisdictional financial arrangements and helping guide the legal strategy behind specialized transaction structures.

Core Responsibilities

Transaction Guidance & Deal Execution

  • Serve as a legal partner to teams creating and evaluating sophisticated financings across U.S. and international markets.
  • Shape transaction frameworks, contribute to drafting and negotiations, and help refine deal mechanics.
  • Collaborate with risk‑analysis groups based in New York and London to anticipate potential challenges and help build structures that address legal and commercial concerns.
  • Advise on the structuring, negotiation, and documentation of transactions involving CLOs, ABS, and other complex financing vehicles.

Post‑Closing & Portfolio Support

  • Provide ongoing legal insight for completed transactions, including involvement in modifications, amendments, and consent processes.
  • Assist internal review groups monitoring deal performance and ensure legal obligations continue to be met as structures evolve.

Ideal Background & Qualifications

  • Strong familiarity with intricate transactional work, particularly involving structured or securitized deal formats (though not limited to a single asset category).
  • Sharp instincts for identifying legal, operational, and insolvency‑related risks.
  • Strong academic foundation with excellent written and verbal communication abilities.
  • Self‑motivated and highly organized, able to work independently while seeking input from colleagues when appropriate.
