We are partnered with one of our most reputable clients to support the growth of their Corporate practice. This is an exciting opportunity to join a highly regarded team advising market-leading clients on a broad range of M&A transactions and securities matters.
Responsibilities
- Support the execution of domestic and cross-border M&A transactions, including acquisitions, dispositions, mergers, and joint ventures
- Draft, review, and negotiate key transaction documents, including purchase agreements, disclosure schedules, and ancillary agreements
- Assist with due diligence processes and manage transaction workstreams in fast-paced deal environments
- Advise clients on corporate governance, entity structuring, and general corporate matters
- Support public and private company clients on securities matters, including SEC filings, disclosure obligations, and capital markets transactions
- Work closely with partners and senior associates to identify risks and drive transactions through closing
Qualifications
- J.D. from an accredited law school and admitted to practice (or ability to waive in)
- 2+ years of experience in corporate/M&A, securities, or general transactional work at a law firm
- Experience drafting and negotiating transaction documents strongly preferred
- Exposure to public company work, securities compliance, or capital markets matters is a plus
- Strong analytical, drafting, and communication skills
- Ability to thrive in a collaborative, fast-paced environment
