Commercial Counsel
Overview
A global electrical equipment manufacturer is seeking a Commercial Counsel to join its legal team. This role will support a broad range of commercial transactions, corporate initiatives, compliance matters, and strategic business projects across multiple business units.
Reporting to senior legal leadership, the successful candidate will serve as a key legal advisor to internal stakeholders, helping manage contractual risk, support business growth initiatives, and contribute to corporate transactions.
Key Responsibilities
- Draft, review, negotiate, and advise on a wide variety of commercial agreements, including customer, supplier, distribution, licensing, real estate, employment, and services contracts.
- Partner with business leaders to identify legal and commercial risks while developing practical, business-oriented solutions.
- Support corporate governance activities, policy development, and internal legal processes.
- Participate in domestic and international M&A transactions, including legal due diligence, transaction document review, deal execution, and post-closing integration matters.
- Advise on regulatory and compliance-related issues affecting the organization.
- Assist with legal risk management strategies and proactively identify areas requiring enhanced controls or process improvements.
- Collaborate cross-functionally with finance, HR, operations, sales, procurement, and executive leadership teams.
- Contribute to the continued development and efficiency of the legal function through process improvements, training, and knowledge-sharing initiatives.
Qualifications
- J.D. from an accredited law school and active admission to a U.S. state bar.
- 3-6+ years of legal experience negotiating and drafting complex commercial agreements.
- Exposure to corporate transactions, mergers and acquisitions, and legal due diligence processes.
- Demonstrated ability to balance legal risk with commercial objectives.
- Additional language skills, including Spanish or Mandarin, are a plus.
- Experience supporting manufacturing, industrial, electrical equipment, or related sectors is highly preferred.
