Commercial Counsel
Our client, a global energy company, is seeking a skilled commercial attorney to join their legal team. This role offers the opportunity to work on complex, high-value contracts and support strategic business initiatives across a broad international footprint.
Essential Functions
- Draft and negotiate bid proposals and contracts, ensuring compliance with internal legal standards, policies, and procedures.
- Prepare and negotiate a wide range of agreements, including:
- Sales and purchase agreements
- Confidentiality agreements
- Master service agreements
- Consulting agreements
- Licenses, assignments, novations, and amendments
- Collaborate with internal legal teams and business unit leaders to provide commercial legal advice and documentation.
- Advise on and assist with the negotiation and settlement of claims involving customers, subcontractors, and vendors.
- Manage and supervise outside counsel when necessary.
- Support additional legal projects as needed, based on expertise and judgment.
Requirements
- J.D. from an accredited law school and admission to the Texas Bar (or otherwise qualified to practice in-house in Texas).
- 8-10 years of corporate in-house or law firm experience, with a strong background in drafting and negotiating material agreements in the energy or similarly complex sectors.
- Demonstrated initiative and ambition to take ownership of projects and become a trusted legal advisor to key stakeholders.
- Willingness to expand into new legal areas and continue professional growth.
- Proficiency in Microsoft Office Suite.
- Excellent oral and written communication skills.
