The Opportunity
Our client is seeking a Corporate Counsel - Technology + Commercial to provide transactional legal support across the organization. This role has a dual focus: serving as the lead legal partner for technology and vendor contracting, including SaaS, AI, and IT/IS agreements, while also supporting project teams on construction contract review and negotiation throughout the project lifecycle. The position works closely with cross-functional stakeholders and outside counsel to manage vendor relationships, mitigate risk, and support the company's technology and operational initiatives.
Key Responsibilities
* Partner with project teams and business stakeholders across the project lifecycle, from pursuit through closeout.
* Review, draft, and negotiate construction-related agreements, including prime contracts, subcontracts, and professional services agreements.
* Lead review and negotiation of vendor, technology, and SaaS agreements, including MSAs, subscription agreements, and data privacy addenda.
* Provide legal guidance on AI-related software agreements and emerging technology vendors.
* Manage vendor contracting lifecycles, including renewals, terminations, and internal stakeholder guidance.
* Support intellectual property matters and coordinate with outside IP counsel as needed.
* Assist cross-functional teams, including Real Estate, Human Resources, Finance, and Marketing, on legal and compliance matters.
* Support contract standardization, CLM administration, and special Legal and Risk Department initiatives.
Qualifications
* Juris Doctor from an accredited law school and licensed in good standing to practice law in at least one U.S. state.
* Five to eight years of experience in a law firm or in-house legal role.
* Demonstrated experience negotiating technology, SaaS, and commercial vendor agreements.
* Construction and real estate law experience preferred.
* Familiarity with AI-related contracts and emerging technology risk considerations.
* Experience with contract lifecycle management (CLM) platforms.
* Strong project management, communication, and cross-functional collaboration skills.
* Sound judgment, problem-solving ability, and a commitment to ethical standards and confidentiality.
