Role Overview
This role is designed for a transactional tax partner with a strong background advising on complex, multi-faceted deals across funds, capital markets, and financing transactions. The successful candidate will work closely with corporate, private equity, and investment management teams, supporting a steady pipeline of sophisticated matters.
A meaningful portion of the practice will involve advising on the tax structuring of private investment funds, cross-border transactions, and leveraged financing arrangements, with exposure to both sponsor and investor-side representations.
Key Responsibilities
Advise clients on a broad range of transactional tax matters, including:
- Tax structuring and execution of private equity, real estate, and direct lending fund formations
- Advising sponsors and investors on fund structuring, fundraising, and ongoing operational tax considerations
- Counseling on cross-border transactions, including inbound and outbound investments
- Structuring and advising on capital markets transactions, including debt and equity offerings
- Providing tax advice on leveraged finance transactions, acquisition financings, and recapitalizations
- Supporting private equity M&A transactions with structuring and execution-focused tax advice
- Collaborating closely with corporate and finance teams on integrated deal execution
- Engaging directly with clients to deliver commercial, practical tax solutions aligned with strategic objectives

Candidate Profile
- J.D. from an accredited law school; LL.M. in Tax preferred but not required
- Admission to at least one U.S. state bar (NY or DC preferred)
- Significant experience in transactional tax, ideally gained within a leading law firm environment
- Demonstrated experience advising on:
- Fund formation (private equity, real estate, credit funds)
- Capital markets transactions (debt and equity)
- Leveraged finance and structured transactions
- Strong client-facing skills with the ability to operate as a trusted advisor on complex matters
- Commercially minded, collaborative, and interested in contributing to a high-growth platform
- No portable book of business required
Compensation & Structure
- Compensation: Typically targeted in the range of $900,000 - $1,200,000+, with flexibility based on experience and overall profile
- Performance-based structure with strong upside tied to individual contribution and firm growth
- Meritocratic partnership model, with clear pathways for continued progression and increased economic participation
- Flexible expectations around billables, with a focus on long-term practice development and client impact rather than rigid targets
