Sr. Corporate Paralegal
Job Summary
This Senior Corporate Paralegal will collaborate closely with the General Counsel to manage legal operations, corporate compliance, M&A due diligence, contract management, and risk management initiatives. This position plays a vital role in supporting a large, multi-unit organization and presents substantial opportunities for career advancement.
Primary Duties and Responsibilities
- Assist the General Counsel with corporate governance tasks, including documenting Board meetings and maintaining stock records.
- Oversee compliance for legal entities, including business registrations, foreign qualifications, and annual reporting.
- Help create and update company-wide policies, standardized documents, and training resources.
- Review and interpret a wide range of agreements, such as master service agreements, consulting contracts, NDAs, amendments, work orders, and vendor agreements.
- Maintain a database of key contracts and highlight non-standard terms for easy access.
- Administer the contract lifecycle management platform and ensure legal records are current and well-organized.
- Coordinate due diligence activities for acquisitions in partnership with internal stakeholders.
- Manage the tracking of legal claims and litigation, including organizing relevant files and documentation.
- Ensure all necessary business permits are current, including those related to construction and environmental compliance.
- Conduct legal research on various topics, including employment law, as needed.
Qualifications
- Bachelor's degree required; paralegal certification is a plus.
- 10+ years of experience in legal operations, contract management, corporate governance, or related areas.
- Strong attention to detail and excellent organizational abilities.
- Capable of handling multiple tasks in a dynamic, team-oriented environment with discretion and professionalism.
- Skilled in using legal research platforms (e.g., LexisNexis, Westlaw), document management tools, and Microsoft Office applications.
- Must be willing to work onsite 4 days a week.
