Senior Counsel, Corporate Structuring & Tax Strategy - Elite Prop Trading Firm
Our client, a leading proprietary trading and financial services organization, is seeking an attorney to join its growing U.S. to support on a variety of strategic business initiatives.
The successful candidate will partner with stakeholders across Legal, Finance, Tax, and Operations, advising on matters involving entity management, organizational structures, intracompany arrangements, corporate governance, tax-related issues, amongst other matters.
The position will offer exposure to cost allocation frameworks, transfer pricing considerations, and other tax-sensitive activities that arise within a complex international business.
Job Responsibilities:
- Provide legal advice on corporate and commercial matters, entity formation, intracompany operations, organizational structures, and tax-related issues.
- Conduct research on matters involving corporate law, entity structures, transfer pricing arrangements, internal transactions, and tax-related matters.
- Draft, review, and negotiate a variety of agreements, including vendor, technology, trading, lease, and other commercial contracts.
- Provide legal guidance on tax-sensitive transactions and corporate activities, helping ensure appropriate legal support for business operations.
- Partner closely with Finance and Tax teams on matters involving entity structures, intracompany arrangements, cost allocation frameworks, and transfer pricing considerations.
Qualifications:
- Juris Doctorate and active bar membership
- 6+ years of experience providing legal counsel on entity management, corporate governance, organizational structures, and tax-related matters.
- Experience supporting cost allocation frameworks, transfer pricing arrangements, and intra company transactions.
- Prior in-house experience within financial services, trading, fintech, or another complex multi-entity organization.
- Strong research, drafting and negotiating skills
- Ability to work with strong business judgment, independently, and under tight deadlines
- Good communicator and team player
