The Role
We are seeking an attorney with experience in private equity tax matters to join a dynamic in-house legal team based in the Greater Philadelphia area. This role will play a key part in supporting investment activity, with a particular focus on tax structuring, diligence, and negotiation.
Key Responsibilities
- Review and negotiate tax-related provisions in fund documentation and side letters
- Analyze fund structures and tax considerations to help determine optimal investment vehicles
- Conduct tax diligence on prospective investments, including identifying structural considerations and potential tax inefficiencies
- Advise internal stakeholders on tax risks and implications in a clear, practical manner
- Collaborate with investment professionals, legal colleagues, clients, and external counsel
- Oversee and coordinate with outside tax advisors on transaction-specific matters
- Support other initiatives and projects as needed
What We're Looking For
- J.D. required; LL.M. in Taxation is strongly preferred
- 3+ years of relevant experience (law firm or in-house)
- Solid grounding in U.S. tax concepts; international exposure is a plus
- Familiarity with private equity or fund investments preferred
- Strong communication skills and ability to manage multiple priorities in a fast-paced environment
- Ability to work independently while partnering effectively across teams
- Admission to the Pennsylvania bar (or eligibility for in-house counsel registration)
