Corporate M&A Attorney

A reputable client has an immediate opening in their Charlotte office for a Corporate M&A Associate with three to five years of experience preferred. The candidate will have a general corporate background, with significant experience in M&A, private equity is a plus.

Responsibilities:

  • Strong M&A experience, including drafting, reviewing, and negotiating merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, and related agreements. Experience with private equity transactions is a plus.
  • Experience with partnership agreements, joint ventures, and limited liability company operating agreements.
  • Substantial responsibility for closing M&A and related transactions.
  • Conducting due diligence reviews.
  • Experience with the Representation and Warranty Insurance underwriting process and related issues.
  • Advising clients on general corporate/entity matters and business matters.

Qualifications:

  • Juris Doctor degree from an accredited law school.
  • Active admission to the North Carolina state bar.
  • Prior experience at an AmLaw ranked law firm is preferred.
  • Minimum of 3+ years of experience with complex M&A transactions. Private Equity experience is a plus.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment.
