We are working with a well-respected corporate group seeking a Corporate Associate with 3-6 years of experience in corporate governance and securities matters, representing public companies.

Key Responsibilities:

  • Advise public company clients on corporate governance and securities matters
  • Review and draft 1934 Act reports, proxy statements, and other public disclosures
  • Counsel on stock exchange listing requirements and compliance
  • Assist with capital markets transactions and public company M&A
  • Support and second-chair complex, high-value transactions
  • Engage directly with clients and senior attorneys on active matters

Qualifications:

  • 3-6 years of relevant law firm experience
  • Strong analytical, drafting, and communication skills
  • Excellent organization and matter management abilities
  • Experience interacting directly with clients and managing deal components
