Corporate Counsel
A reputable logistics company is seeking a Corporate Counsel to join their growing team and support a wide range of legal matters across their operations. This role will provide strategic and day-to-day legal guidance on corporate governance, regulatory compliance, commercial contracts, employment law, and risk management.
Key Responsibilities:
Legal Advisory & Risk Management
- Provide legal counsel to internal stakeholders on a broad range of issues including regulatory compliance, employment law, and commercial transactions.
- Identify legal risks and recommend proactive solutions to mitigate exposure.
Contract Review & Negotiation
- Draft, review, and negotiate a variety of contracts including vendor agreements, service contracts, leases, and NDAs.
- Maintain contract templates and ensure consistency with company policies and legal standards.
Regulatory & Compliance Oversight
- Monitor and interpret transportation-related regulations (e.g., DOT, FMCSA, OSHA) and ensure company compliance.
- Support internal audits and investigations as needed.
Corporate Governance
- Assist with corporate filings, board resolutions, and maintenance of legal entities.
- Support M&A activity, joint ventures, and other strategic initiatives.
Employment & Labor Law Support
- Advise HR on employment law matters including hiring practices, terminations, workplace policies, and dispute resolution.
- Respond to administrative agency inquiries and coordinate with external counsel as needed.
Litigation Management
- Manage pre-litigation disputes and coordinate with outside counsel on active litigation.
- Track legal claims and maintain documentation for case management.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Licensed to practice law in California or eligible for admission
- 5+ years of legal experience, preferably in a corporate or transportation-related environment.
