VP, Associate General Counsel
Position Overview
The Vice President, Associate General Counsel will serve as a senior member of the legal team, providing strategic counsel on a wide range of complex commercial, regulatory, and corporate matters. This leader will play a critical role in supporting business growth, ensuring legal compliance, and advising executives across the organization. The ideal candidate combines sharp legal acumen with business‑minded judgment and the ability to operate confidently in a fast‑paced environment.
Key Responsibilities
Commercial & Transactional Work
- Draft, review, and negotiate sophisticated commercial agreements with minimal oversight.
- Prepare legal correspondence, memoranda, and related documentation with a high degree of accuracy and professionalism.
- Partner directly with senior leadership to support complex transactions and business initiatives.
Regulatory & Compliance
- Research, interpret, and analyze laws, regulations, and policies relevant to the company's operations.
- Provide proactive guidance on compliance risks and regulatory developments.
Strategic Counseling
- Deliver timely, practical legal advice to senior business stakeholders on commercial contracts, corporate governance, and high-impact decision-making.
- Take ownership of major legal matters and drive them to resolution using sound judgment and independent problem‑solving skills.
Collaboration & Leadership
- Work closely with other attorneys and legal team members, contributing to a collaborative and high-performance culture.
- Build trust and credibility across the organization by consistently delivering clear, actionable legal recommendations.
- Demonstrate professionalism, discretion, and the ability to advocate effectively in all settings.
Additional Responsibilities
- Support cross-functional initiatives involving multiple internal and external stakeholders.
- Apply balanced, risk-informed decision-making.
- Perform other legal duties as needed.
Basic Qualifications
- 8-10 years of progressively responsible transactional experience at a law firm or in-house legal department.
- Juris Doctor (JD) degree.
- Licensed to practice law in the United States, with eligibility to register as in-house counsel in relevant jurisdictions.

- Track record of producing high-quality work on complex matters.
- Strong initiative and the ability to exercise independent judgment.
- Excellent relationship-building skills and the ability to work effectively with internal clients, peers, external partners, and government agencies.
- Superior communication, decision-making, multitasking, and problem‑solving abilities.
- High proficiency with MS Office and comfort navigating technology tools.
- Ability to maintain confidentiality and handle sensitive information with discretion.
- Self-directed, proactive, and capable of thriving in a dynamic, fast-paced environment.
- Prior in-house experience and/or significant experience with sophisticated commercial transactions.
- Experience collaborating with multidisciplinary legal teams.
