Senior Counsel - Commercial Contracts

An Am Law 200 firm is seeking a talented mid- to senior-level attorney (Associate or Senior Counsel) to join its Business Law team. This position offers exceptional flexibility, including fully remote work, customizable schedules, and options for full-time or part-time employment.

The successful candidate will focus on corporate and business transactions, with a strong emphasis on M&A, joint venture agreements, and complex commercial contracts. This role involves advising clients on strategic transactions, corporate governance matters, and risk mitigation for sophisticated business deals.

Key Responsibilities:

• Draft, review, and negotiate a wide range of agreements, including mergers and acquisitions, joint ventures, strategic alliances, and complex commercial contracts (e.g., supply and vendor agreements).
• Provide strategic legal advice on corporate governance, entity structuring, and compliance for domestic and international transactions.
• Collaborate with attorneys and business professionals across multiple markets to ensure regulatory compliance and mitigate risk.
• Manage intricate negotiations and guide clients through all phases of transactional matters.

Qualifications:

• Minimum of 5 years of experience in corporate law, with significant exposure to M&A, joint ventures, and commercial contract negotiation.
• Strong academic credentials and excellent organizational, drafting, and analytical skills.
• Ability to work independently and communicate effectively in a remote environment.
• Prior in-house counsel experience is a plus, but not required.

Location: Fully Remote (with optional access to offices in Indianapolis, Madison, Milwaukee, Minneapolis, Naples, Phoenix, St. Louis, Tampa, and Tucson)
