Senior Corporate Counsel

Job Overview:

A growing, publicly-traded insurance brokerage is in search of a well-versed Senior Corporate Counsel to join its team in North Houston, TX. In this role, you will play a critical role in assisting the Chief Legal Officer in all aspects of the company's securities, M&A, and corporate governance work. This opportunity offers a competitive compensation package (base + bonus), as well as frequent interfacing with C-Suites and senior leadership across the business.

Job Responsibilities:

  • Advise on SEC and Nasdaq compliance and reporting obligations, including drafting and reviewing Forms 10-K, 10-Q, 8-K, Section 16 filings, and proxy materials.
  • Provide legal support for M&A transactions, including structuring, negotiating, and executing acquisition and divestiture activities.
  • Provide guidance on securities law considerations for external communications such as press releases, earnings announcements, investor materials, and sustainability disclosures.
  • Counsel on equity compensation programs, executive compensation matters, and related Section 16 compliance.
  • Support planning, preparation, and execution of annual shareholder meetings and ongoing shareholder engagement activities.
  • Handle day-to-day corporate legal matters, including entity governance, maintenance of corporate records, preparation of Board and committee materials, and oversight of board portal systems.
  • Draft, review, and negotiate transactional documents and commercial agreements.
  • Contribute to strategic initiatives, including conducting legal due diligence for prospective mergers, acquisitions, and other business transactions to evaluate risks and inform decision-making.
  • Draft, review, and negotiate a broad range of contracts supporting business operations.

Job Qualifications:

  • Minimum of 3 years of legal experience in private practice or in-house.
  • Demonstrated expertise in SEC and Nasdaq reporting and disclosure requirements, with experience collaborating across functions to prepare and review periodic filings and related documentation.
  • Solid knowledge of corporate governance principles and best practices.
  • Experience supporting mergers and acquisitions and other complex corporate transactions.
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active bar membership in good standing.
  • Forward-thinking mindset with a willingness to adapt, innovate, and drive continuous improvement.
