A leading global law practice is seeking an Emerging Companies & Venture Capital (ECVC) Attorney with 3-6 years of experience to join its highly regarded ECVC team.
This is an exceptional opportunity to work with innovative startups, high-growth companies, founders, and leading venture capital investors on sophisticated transactions spanning the full company lifecycle, from formation and financing through M&A transactions and exit events.
About the Opportunity
The team advises emerging companies and investors across some of the most dynamic sectors of the economy, including technology, life sciences, and consumer products. Associates receive significant client-facing responsibility, exposure to complex transactions, and the opportunity to work closely with industry-leading companies and investors.
Responsibilities
- Advise startups and emerging growth companies on corporate governance and general business matters.
- Represent companies and investors in seed, venture capital, and growth equity financings, including transactions utilizing NVCA documentation.
- Counsel founders, management teams, and boards throughout the company lifecycle.
- Assist with domestic M&A transactions involving venture-backed companies and investors.
- Support clients through formation, financing rounds, strategic transactions, public offerings, and liquidity events.
- Draft, review, and negotiate transaction documents while managing deal execution.
Qualifications
- 3-6 years of experience in emerging companies and venture capital matters.
- Significant experience representing startups, emerging growth companies, and venture capital investors.
- Strong background handling venture financings using NVCA documents.
- Experience advising on corporate governance matters and financing transactions.
- Exposure to domestic M&A transactions involving startup and venture-backed companies.
- Excellent written, verbal, and client-management skills.
- Strong business judgment and the ability to manage matters proactively and independently.
- Admission to the applicable state bar or eligibility to waive in.
