Director/Counsel - Commercial Legal Affairs
Reporting directly to the General Counsel, the Director, Commercial Counsel will serve as a key legal advisor to a global industrial organization, supporting a diverse portfolio of domestic and international business operations. This role will partner closely with commercial, sales, procurement, operations, supply chain, and executive leadership teams to provide practical legal guidance that enables business growth while effectively managing risk. The position offers significant exposure to complex commercial transactions and the opportunity to influence legal strategy across multiple business units and geographic regions.
Key Responsibilities:
- Draft, review, negotiate, and manage a broad range of commercial agreements, including customer and supplier contracts, distribution and channel partner agreements, licensing arrangements, professional services agreements, confidentiality agreements, joint development agreements, and other strategic commercial transactions.
- Advise business stakeholders on contract interpretation, risk allocation, liability provisions, indemnification, warranties, intellectual property rights, and dispute resolution strategies.
- Partner with internal clients to identify legal and business risks and develop practical solutions that align with organizational objectives.
- Support domestic and international commercial transactions, coordinating with outside counsel and internal stakeholders as needed to address jurisdiction-specific legal requirements.
- Assist with the management and resolution of commercial disputes, claims, and contract-related issues.
- Develop, implement, and maintain contracting processes, templates, policies, and best practices to improve efficiency and consistency across the organization.
- Deliver training and guidance to business teams on commercial contracting principles, legal risk management, and company policies.
- Provide legal support on privacy and data protection matters, including GDPR, CCPA, and other evolving regulatory requirements.
- Collaborate with cross-functional teams to support strategic initiatives, operational objectives, and ongoing business needs.
Qualifications:
- Juris Doctor (JD) degree and active bar membership.
- Minimum of 7 years of legal experience gained through a law firm, in-house legal department, or a combination of both.
- Demonstrated experience drafting, reviewing, and negotiating complex commercial agreements.
- Strong understanding of commercial law, contract risk management, and business-focused legal counseling.
- Experience supporting manufacturing, industrial, technology, or other complex business environments is preferred.
