Counsel - Asset Securitization / Structured Finance

I am currently working with a boutique law firm that is looking to add a Counsel‑level attorney to support its asset securitization and structured finance practice. This role is intended for someone who brings strong substantive finance experience and is interested in a long‑term counsel platform with reduced billable hours.

Finance Counsel Responsibilities:

  • Represent companies and financial institutions in a broad range of financing activities, including asset securitization and structured finance transactions
  • Provide advice to clients on structured finance transactions across multiple asset classes
  • Advise clients on the acquisition and sale of portfolios of financial assets
  • Represent parties in both secured and unsecured credit facilities
  • Draft, review, and negotiate offering documents, transaction agreements, financing statements, and related deal documentation
  • Advise on commercial and securities law issues as they relate to finance and capital markets transactions
  • Support debt and equity financings in capital markets transactions
  • Manage key deal workstreams from transaction launch through closing and coordinate with internal teams, clients, and opposing counsel

Finance Counsel Qualifications:

  • 6+ years of experience in asset securitization and/or structured finance
  • Experience representing financial institutions and corporate clients in complex financing transactions
  • Strong drafting and negotiation skills with the ability to take ownership of substantive deal work
  • Familiarity with commercial and securities law issues impacting finance transactions
  • Interest in a career counsel role with a reduced billable expectation (approximately 1,800 hours, with flexibility)
  • Admission to practice and good standing in at least one U.S. jurisdiction
