Corporate Lawyer (Infrastructure Investments)
Overview
Our client is a leading infrastructure investment platform with a strong presence across the Asia-Pacific region. Due to continued growth and an active investment pipeline, they are seeking an experienced Corporate Lawyer to support the legal aspects of infrastructure investments, portfolio management activities, and strategic transactions across APAC.
Key Responsibilities
- Lead and manage the legal aspects of infrastructure investments, acquisitions, divestments, joint ventures, restructurings, and strategic transactions across the APAC region.
- Draft, review, negotiate, and advise on transaction documentation including share purchase agreements, subscription agreements, shareholders' agreements, joint venture agreements, and NDAs
- Provide legal support throughout the transaction lifecycle, including due diligence, structuring, execution, completion, and post-closing integration.
- Advise investment professionals and senior stakeholders on legal, regulatory, governance, and commercial risks associated with infrastructure investments.
- Work closely with external counsel across multiple jurisdictions to deliver pragmatic and commercially focused legal solutions.
- Support the management of portfolio companies on corporate governance matters, board-related issues, shareholder matters, and ongoing commercial arrangements.
- Assist with the establishment and structuring of investment vehicles, co-investment arrangements, and fund-related initiatives.
- Monitor and advise on regulatory developments relevant to infrastructure investing and cross-border transactions across APAC.
- Contribute to the development of legal templates, policies, and internal best practices to enhance transaction efficiency and risk management.
Requirements
- Qualified lawyer with at least 10 years of post-qualification experience (PQE).
- Experience gained within a leading international or local law firm
- Strong experience handling complex M&A, joint venture, and investment transactions within the infrastructure, energy, utilities, transportation, digital infrastructure, or related sectors.
- Proven track record supporting cross-border transactions across multiple APAC jurisdictions.
- Excellent drafting, negotiation, and stakeholder management skills.
- Ability to provide practical and commercially driven legal advice in a fast-paced investment environment.
- Experience working closely with investment teams and senior management stakeholders.
- Strong understanding of corporate governance and regulatory considerations relevant to infrastructure assets.
