Associate General Counsel
Our client is a leading home infusion and specialty pharmacy provider that offers a specialized approach to caring for patients who require IV therapy and specialty pharmacy services in the home setting. The organization fosters an ethical, team-oriented, and quality-focused environment that supports achievement, collaboration, and professional growth, and they are looking to add an Associate General Counsel to their team.
Reporting directly to the General Counsel, this attorney will assist in providing legal services across the organization to protect its legal interests and support compliant business operations. The role provides hands-on legal counsel, identifies and analyzes legal issues, delivers practical recommendations to senior leadership, and supports strategic business initiatives, including acquisitions and commercial transactions.
The Senior Assistant General Counsel will advise on healthcare regulatory compliance, litigation and arbitration strategy, employment matters, corporate governance, and merger and acquisition transactions, including due diligence and negotiation of transaction documents.
Key Responsibilities
- Advise the General Counsel and business leaders on legal rights, risks, and emerging legal developments.
- Provide strategic legal guidance across a broad range of operational, regulatory, and corporate matters.
- Develop and review litigation and arbitration strategies in coordination with outside counsel.
- Draft, review, and negotiate a variety of agreements, including commercial, employment, and vendor contracts.
- Develop and maintain contract templates, clause libraries, and negotiation playbooks to promote consistency and efficiency.
- Counsel the organization on healthcare regulatory requirements, including the Anti-Kickback Statute, Stark Law, CMS and Medicare enrollment requirements, and state pharmacy and home health licensure matters.
- Support mergers, acquisitions, and other strategic transactions, including due diligence, deal structuring, and negotiation of transaction documents.
- Manage regulatory inquiries, audits, and investigations involving state and federal agencies.
- Advise on employment law matters, workplace investigations, disciplinary actions, and enforcement of restrictive covenants.
- Draft and update internal policies and procedures in partnership with Human Resources and Compliance.
- Support corporate governance activities, including maintenance of entity records and governance documentation.
- Serve as a primary legal contact for regulators, outside counsel, government agencies, clients, and other external stakeholders.
- Monitor legislative and regulatory developments affecting the healthcare industry.
- Assist with required corporate filings, reports, and records.
- Manage outside counsel relationships, budgets, billing, and staffing.
- Develop and deliver legal and compliance training to business units.
- Perform other duties as assigned by the General Counsel.
Qualifications
- Juris Doctor (J.D.) from an ABA-accredited law school.
- Active license to practice law in at least one U.S. jurisdiction.
- For Assistant General Counsel consideration: 5-9 years of legal experience with a focus on healthcare law.
- For Senior Assistant General Counsel consideration: 10+ years of legal experience, including substantial healthcare law experience.
- Strong working knowledge of healthcare regulatory matters, including fraud and abuse laws, Medicare enrollment requirements, and healthcare licensing requirements.
- Experience supporting litigation, arbitration, internal investigations, and regulatory matters preferred.
- Experience supporting mergers, acquisitions, and related due diligence activities preferred.
- Strong written and verbal communication skills.
- Proven ability to manage multiple priorities and work independently in a fast-paced environment.
- Excellent interpersonal skills and ability to collaborate effectively across departments.
- Strong attention to detail and commitment to maintaining confidentiality.
- Proficiency with Microsoft Office applications, including Word, Excel, and PowerPoint.
