We are currently partnered with an innovative growing Investment Firm that is continuing their exciting growth and seeking to add a VC Transactional Counsel to quarterback & manage a wide range of strategic corporate transactions. This individual will work directly with the General Counsel with visibility to senior leadership. You will work collaboratively with external counsel and be responsible for managing legal transactions in connection with the funds investments. This is an exciting opportunity to be part of a growing fund that continues to make its mark in the industry.
Responsibilities:
- Quarterback & manage strategic transactions in relation to early-stage bio-tech assets
- Review and manage deal documentation including corporation formation documents, adviser equity grants, and preferred equity purchase agreements
- Review and negotiate term sheets, merger agreements, PIPE documents, and relevant SEC filings
- Being the point person on all legal matters supporting existing investments
- Work with external stakeholders and manage outside counsel
Requirements:
- JD from a top tier law school
- 5+ years of experience within private practice, in-house environment, or mix of both
- Significant experience with M&A, Private Equity, & Capital Markets transactions
- Familiarity with the Life sciences industry a plus
