Our client is currently seeking a talented and experienced attorney to join its dynamic legal team as their Senior Counsel, reflecting their ongoing expansion and dedication to excellence.
Position Overview:
The Senior Counsel will play a critical role in all legal aspects of renewable energy project development, including site acquisition, permitting, zoning, and regulatory compliance. In this role, you will be working closely with project development and asset management teams to navigate legal challenges and ensure successful project execution. Additionally, you will have the opportunity to contribute on project finance and M&A transactions.
Key Responsibilities:
- Contract Management: Draft, review, and negotiate key contracts related to project development, including Engineering, Procurement, and Construction (EPC) contracts, Equipment Procurement Contracts, and Operations and Maintenance (O&M) Contracts. Ensure all contracts meet company standards and comply with relevant legal and regulatory requirements.
- Project Finance: Assist in structuring and negotiating project finance transactions, including debt and equity financing arrangements.
- Mergers and Acquisitions: Provide legal support for M&A activities, including due diligence, negotiation, and execution of acquisition agreements. Advise on legal risks and opportunities associated with potential acquisitions and partnerships.
- Regulatory Compliance: Monitor and ensure compliance with federal, state, and local regulations affecting the renewable energy industry. Provide legal guidance on regulatory matters and assist in obtaining necessary permits and licenses.
- Real Estate Transactions: Manage legal aspects of real estate transactions, including site acquisition, land use agreements, and leases. Ensure all real estate transactions comply with legal and regulatory requirements and support the company's project development goals.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with a state bar.
- Minimum of 3 years of legal experience with either project development or project finance transactions for renewable energy projects.
- Proven expertise in renewable energy contract negotiation and drafting.
- Knowledge of regulatory and compliance issues in the renewable energy sector.
- Ability to work independently.
