Company Summary:
Our client, an established Private Equity Firm in the Los Angeles Area is looking to bring on a fund formation counsel. Specializing in private investments, the firm manages a portfolio of service providing companies in consumer, healthcare, business services, distribution, and industrials. Working directly with the General Counsel, this position will primarily be dealing with funds formation and the life cycles of current and new funds.
The Fund Formation Counsel will be responsible for:
- Manage legal aspects of new bespoke product launches, including structuring, drafting and negotiation of fund and investment management documents
- Assist in ongoing legal aspects of operating existing investment funds
- Review of contractual provisions, preparing amendments and updating & revising of investment vehicles' offering materials
The Fund Formation Counsel should have the following qualifications:
- Four or more years of expertise in Private Equity/ Venture Capital: Fund formation, or private/ investment funds preferred
- Big Law experience
- JD from an accredited law school
- Ability to be proactive in new situations and to independently manage projects to conclusion is important
- Must be ready to dive in and work on current and existing funds right away
- Willing to work hand in hand with high level management and make strategic decisions
