Overview:
A National Renewable Energy company that develops, finances and operates renewable energy projects is looking to grow their legal team. As the Corporate Counsel, you will play a pivotal role in the business by leading all legal matters related to project finance and M&A. This is an exciting opportunity for an experienced attorney to work with a dynamic and fast-paced team, providing legal guidance and support for all aspects of our business.
Key Responsibilities:
- Lead the legal function, providing strategic guidance and oversight in M&A and project finance activities.
- Manage project finance activities including debt financing and tax equity financing transactions
- Lead due diligence efforts for M&A transactions by drafting and negotiating membership interest purchase agreements, asset purchase agreements, asset transfer agreements, and share transfer agreements
- While using your legal expertise, you will work in tandem with the commercial team to make strategic decisions regarding the acquisition and sale of renewable energy projects.
Experience Required:
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with a state bar.
- Must have 3+ years of renewable energy legal experience either at a law firm or in-house.
- A minimum of 2 years of experience focusing on project finance transactions including tax equity financings for renewable energy projects.
- Proven experience with M&A transactions.
- Strong understanding of the solar industry and related legal issues
- Ability to work independently on project finance and M&A transactions with ease.
