Our client is currently seeking a talented and experienced renewable energy attorney to join its dynamic legal team as Assistant General Counsel, reflecting their ongoing expansion in the U.S.
Position Overview:
The Assistant General Counsel will play a critical role by leading all project finance transactions. Additionally, you will be managing the execution of project development contracts including EPC contracts, O&M agreements, and power purchase agreements. In this role, you will be directly with the finance teams and development teams to navigate legal challenges and ensure successful project execution.
Key Responsibilities:
- Lead all project finance transactions by structuring and negotiating financing agreements including refinancings, debt, and tax equity financing arrangements.
- Collaborate with financial institutions and investors to secure project funding and manage relationships throughout the financing lifecycle.
- Oversee the drafting and negotiations of key contracts related to project development, including Engineering, Procurement, and Construction (EPC) contracts, Power Purchase (PPAs) agreements and Operations and Maintenance (O&M) Contracts.
- Provide legal support for M&A activities, including due diligence, negotiation, and execution of acquisition agreements. Advise on legal risks and opportunities associated with potential acquisitions and partnerships.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with a state bar.
- Must have over 4 years of transactional experience in the renewable energy industry
- Experience being the lead attorney for renewable energy transactions
- Minimum of 4 years of experience drafting and negotiating project finance transactions including debt and tax equity.
- Proven experience drafting and negotiating EPC contracts, O&M agreements, PPAs, and offtake agreements
- Ability to work independently.
