Our Client,a major financial institution is seeking a Vice President to join its Prime Services documentation and negotiation team. This role supports several of the firm's trading and financing businesses-including prime brokerage, derivatives, and clearing-by managing complex transactional documentation and ensuring agreements align with internal policies and regulatory standards. The position requires strong experience with capital markets documentation and the ability to coordinate negotiations across a range of internal stakeholders.
Key Responsibilities
- Lead the negotiation and execution of agreements used across prime brokerage, derivatives clearing, and related markets products.
- Manage the full lifecycle of client and transaction documentation, collaborating closely with legal, risk, credit, operations, and business teams.
- Review, update, and refine key documents-such as financing terms, clearing provisions, and derivatives schedules-to support onboarding and trading activity.
- Identify legal, regulatory, and structural issues in transactions and advise on appropriate actions or adjustments.
- Maintain accurate records, summaries, and due‑diligence materials to meet governance and oversight expectations.
- Contribute to the improvement of documentation processes, enhancing consistency, efficiency, and control across workflows.
- Provide senior management with insights on negotiation patterns, documentation challenges, and emerging risk considerations.
Required Skills
- Significant experience negotiating capital markets agreements, ideally across prime brokerage, futures, OTC clearing, and derivatives.
- Strong understanding of prime services products, collateral and margin frameworks, and relevant regulatory considerations.
- Ability to manage complex negotiations while balancing commercial priorities with risk management needs.
- Familiarity with securities lending, repo, or FX prime brokerage documentation is advantageous.
- Strong communication and stakeholder‑management skills across multiple functions.
- Strong analytical judgment with the ability to prioritize effectively in a fast‑paced environment.
