Senior Legal Counsel - Structured Finance
Overview
A global investment firm is seeking a Senior Legal Counsel - Structured Finance to join its product development and structuring team in either London or New York. This role will focus on creating and managing complex investment vehicles for institutional clients, including securitized products and bespoke financing solutions. You will collaborate with internal stakeholders and external partners to deliver innovative structures that meet regulatory and commercial objectives.
Core Responsibilities
- Lead the legal aspects of structuring and launching securitized investment products, including fund-linked notes, CLOs, CFOs, and other structured vehicles.
- Advise on product design and strategy, working closely with investment, operations, and client teams.
- Draft and negotiate transaction documentation such as offering memoranda, credit agreements, engagement letters, and service provider contracts.
- Ensure compliance with global regulatory frameworks and implement tax-efficient solutions for diverse investor bases.
- Oversee waterfall mechanics and payment priorities within legal documentation.
- Monitor regulatory developments in structured finance and insurance-linked products, providing guidance to internal teams.
- Support client engagement by contributing to presentations and discussions on product capabilities.
Required Qualifications
- Minimum 7 years of experience in structured finance or securitization at a leading law firm, financial institution, or asset manager.
- Qualified lawyer in the UK or US with at least 5 years post-qualification experience.
- Expertise in drafting and negotiating documentation for securitized products and related financing arrangements.
- Familiarity with rating agency processes and structuring investment-grade tranches.
- Strong understanding of regulatory regimes such as the Securities Act, Investment Advisers Act, AIFMD, MiFID, Dodd-Frank, and other relevant frameworks.
- Knowledge of tax considerations for cross-border investment structures.
- Excellent communication, analytical, and project management skills with the ability to manage multiple complex initiatives.
