Senior Counsel

Key Responsibilities

  • Draft, review, and negotiate commercial, vendor, distribution, licensing, and confidentiality agreements.
  • Lead negotiations, simplify complex deal structures, and ensure alignment with business goals.
  • Manage corporate governance, including annual filings, resolutions, and coordination with external agents.
  • Support compliance with U.S., Canadian, and Latin American regulatory requirements.
  • Advise AMS leadership on commercial, corporate, compliance, and employment matters.
  • Provide guidance on IP protection, data privacy, and regulatory programs.
  • Manage disputes and litigation, including oversight of outside counsel.
  • Identify and mitigate business risks while supporting growth opportunities.
  • Maintain templates, playbooks, and processes to improve contracting efficiency.
  • Contribute to strategic legal initiatives, IP portfolio management, and compliance training.
  • Deliver internal training to promote compliance and reduce risk.
  • Collaborate with global legal colleagues while operating independently as needed.

Qualifications & Skills

  • Juris Doctor (JD) from an accredited U.S. law school; active bar membership in at least one U.S. state.
  • 5-8 years of relevant experience, including 3+ years in-house or advising corporate clients.
  • Strong background in commercial contracts, corporate law, and business transactions.
  • Experience in both law firm and in-house environments preferred.
