Project Finance Counsel
Primary Duties
Collaborate across internal departments to drive forward essential initiatives, including but not limited to the following:
- Take the lead on all capital-raising efforts, including those related to infrastructure development, asset-backed lending, and monetization of tax incentives. Responsibilities encompass overseeing diligence processes, drafting and negotiating financial instruments (e.g., credit facilities, notes, collateral agreements), managing transaction closings, and ensuring post-deal compliance. Strong process-building skills are essential.
- Provide strategic legal guidance on monetizing tax benefits, ensuring adherence to tax equity structures, and managing audits or disputes that may arise.
- Oversee compliance with financial covenants, including the creation and implementation of internal tracking and reporting systems.
- Support legal aspects of project development, including grid interconnection, permitting, regulatory contracts, market participation, and proposal submissions.
- Ensure late-stage project deliverables are completed to meet financing requirements.
- Guide and support junior legal and transactional staff.
- Handle a variety of general legal matters, including service agreements, licensing, NDAs, and other standard contracts.
- Manage relationships with external legal advisors and oversee related billing.
- Work closely with cross-functional teams-spanning development, finance, construction, operations, and asset management-to ensure legal risk is minimized and compliance is maintained throughout the lifecycle of energy storage projects.
Qualifications
- JD and undergraduate degree required.
- Must hold an active legal license in the relevant jurisdiction.
- Minimum of 5 years of legal practice experience.
- Prior in-house counsel experience is a plus.
- Deep knowledge of structured finance, including construction lending and tax credit transactions.
- Comfortable navigating uncertainty and making informed decisions with limited data.
- Willingness to take on diverse responsibilities based on evolving business needs.
- Strong leadership and mentoring capabilities, with a proactive and innovative mindset.
- Must be self-driven and capable of managing tasks independently in a fast-paced environment.
- (Preferred) Understanding of renewable energy systems, energy storage technologies, and electricity markets.
