M&A Counsel

Key Responsibilities

  • Provide legal support for transactions across Hong Kong, Mainland China, and other Asia Pacific jurisdictions
  • Review, draft, and negotiate transaction documents with internal and external stakeholders
  • Manage signing and closing processes, often in coordination with external counsel
  • Handle transaction-related documentation such as NDAs, engagement letters, corporate resolutions, and KYC/AML compliance
  • Support fund-related matters and host Investment Committee meetings
  • Draft and review structured finance documentation, including commercial contracts, permits, and licenses
  • Assist with legal issues related to insolvency, distressed debt, restructurings, waivers, and litigation
  • Provide general legal advice to business units and manage relationships with external law firms

Candidate Requirements

  • 2-5 years of post-qualification experience (PQE) with a focus on corporate transactions
  • Experience in M&A and private equity investments
  • Familiarity with both onshore and offshore deal structures and regulatory frameworks
  • Qualified to practice law in Hong Kong, Mainland China, or another recognized jurisdiction
  • Strong negotiation and communication skills
  • Fluency in English and Mandarin (spoken and written)
  • In-house legal experience is a plus but not required
