Overview

A leading global investment bank is seeking a Transactions Counsel to join its in-house legal team in New York. This role will focus on supporting a wide range of banking and financial transactions, working closely with business stakeholders across capital markets, lending, and structured finance. The position offers high visibility, direct deal involvement, and the opportunity to work on complex, market-leading transactions.

Key Responsibilities

  • Provide legal support on a broad spectrum of transactions, including corporate lending, leveraged finance, structured products, and capital markets activities
  • Draft, review, and negotiate transaction documents (e.g., credit agreements, ISDAs, underwriting agreements, and ancillary documentation)
  • Partner with front office, credit, risk, and operations teams to structure and execute transactions efficiently
  • Advise on regulatory considerations, risk mitigation, and legal developments impacting banking transactions
  • Coordinate with external counsel on complex or cross-border matters
  • Assist with internal policy development and legal process improvements

Qualifications

  • J.D. from an accredited law school and admission to the New York Bar (or eligibility to waive in)
  • 4-8+ years of relevant experience at a top law firm and/or in-house at a financial institution
  • Strong background in banking, finance, or capital markets transactions
  • Experience drafting and negotiating complex financial documentation
  • Familiarity with U.S. banking regulations and market standards
  • Strong commercial judgment and ability to manage multiple transactions simultaneously
