Head of Subsidiary Governance, Deputy Corporate Secretary - Insurance

A Fortune 500 company and a leading provider of retirement solutions and insurance products is seeking a seasoned legal professional to lead governance and legal entity management initiatives across a complex corporate structure. This role provides strategic legal guidance on corporate governance matters, supports board and committee operations, and ensures compliance with applicable laws and internal policies. The ideal fit will be based in the New York City metro area and able to be onsite and in office on a hybrid schedule, 3 days per week, in Jersey City, NJ

Key Responsibilities:

  • Advise senior leadership, board members, and internal stakeholders on governance frameworks, legal entity structures, and regulatory obligations.
  • Draft and maintain governance documentation, including bylaws, board charters, policies, resolutions, and meeting materials.
  • Oversee legal aspects of corporate transactions such as entity formations, dissolutions, name changes, and jurisdictional changes.
  • Support licensing and regulatory filings for legal entities across multiple jurisdictions.
  • Coordinate and provide legal support for board and shareholder meetings, including agenda planning, material preparation, and compliance with procedural requirements.
  • Ensure adherence to corporate governance standards, regulatory expectations, and internal controls, particularly in support of capital management and financial operations.
  • Maintain and enhance systems for legal entity recordkeeping and compliance tracking, including oversight of internal controls and audit readiness.
  • Supervise and mentor legal support staff involved in governance and secretarial functions.
  • Collaborate cross-functionally with legal, compliance, finance, and business teams to align governance practices with strategic objectives.

Qualifications:

  • Juris Doctor (JD) from an accredited institution.
  • Minimum of 10 years of experience in corporate governance, legal entity management, and corporate secretarial functions.
  • Experience in a regulated industry, preferably financial services or insurance.
  • Strong legal drafting and analytical skills, with the ability to translate complex legal concepts into practical guidance.
  • Proven ability to manage high-stakes projects and coordinate across multiple departments.
  • Excellent communication and interpersonal skills, with the ability to advise senior executives and board members confidently.
  • Experience leading or mentoring legal professionals or paralegals.
