Deputy General Counsel
Job Overview
A growing, technology-enabled professional services organization is seeking an experienced Deputy General Counsel to serve as a key strategic advisor to executive leadership. This position offers significant visibility across the organization, partnering closely with the CEO, senior executives, and Board of Directors on complex legal, regulatory, risk, and operational matters.
The ideal candidate will combine strong business judgment with exceptional legal expertise and will be comfortable operating in a fast-paced, entrepreneurial environment. This role provides broad exposure to corporate governance, commercial transactions, compliance, litigation management, and enterprise risk oversight.
Key Responsibilities
- Serve as a trusted legal advisor to executive leadership on strategic business, regulatory, and risk-related matters.
- Draft, review, negotiate, and manage a wide range of complex commercial agreements, including customer, vendor, technology, and strategic partnership contracts.
- Support corporate governance activities, including board matters, entity management, and regulatory filings.
- Identify legal and compliance risks across the organization and develop practical, business-oriented solutions.
- Oversee litigation, disputes, and investigations, managing outside counsel and driving effective resolution strategies.
- Advise on privacy, data protection, information security, and regulatory compliance initiatives.
- Partner with leaders across Finance, Human Resources, Operations, Technology, and Information Security to support enterprise-wide legal and compliance objectives.
- Develop and refine legal policies, contract standards, governance frameworks, and internal controls.
- Manage external legal providers, including budget oversight and performance management.
- Participate in Board and committee meetings, providing legal guidance and support on strategic initiatives.
- Support corporate transactions, financing matters, and other strategic business initiatives as needed.
- Help build scalable legal processes and infrastructure to support continued organizational growth.
Job Qualifications
- Juris Doctor (JD) from an accredited law school.
- Active Texas bar license or eligibility to obtain admission in Texas.
- 10+ years of progressive legal experience, including:
- Significant in-house counsel experience; or
- Substantial law firm experience with a strong interest in a business-facing legal role.
- Strong commercial contracting, negotiation, and legal counseling experience.
- Experience managing litigation and outside counsel relationships.
- Ability to communicate complex legal concepts to business stakeholders and executives in a practical, solutions-oriented manner.
- Demonstrated leadership experience, including managing legal teams, major initiatives, or cross-functional workstreams.
- Experience presenting to executive leadership, boards of directors, investors, or similar governance bodies.
- Excellent judgment, professionalism, and discretion.
Preferred Experience
- Experience supporting technology-enabled businesses, professional services organizations, healthcare-adjacent businesses, or regulated industries.
- Familiarity with corporate governance, compliance programs, and enterprise risk management.
- Experience with M&A transactions, financing activities, or strategic corporate projects.
- Knowledge of privacy and data protection regulations, including healthcare-related privacy frameworks.
- Experience mentoring attorneys and building high-performing legal functions.
- Background supporting complex operational, administrative, or financial services organizations.
