Capital Markets Counsel - Banking
We're working with a leading international financial institution on a search for a lawyer to join its New York legal team, supporting their Capital Markets operations, offering broad transactional exposure and regular interaction with international colleagues. The person in this role will focus on providing legal, transaction, and regulatory advice on a wide range of capital market activities including liability management, securitization deals and bond offerings. The role will be based in the Company's New York City office on a hybrid schedule.
Job Description:
- Serve as a key legal advisor on complex, visible transactions, partnering with stakeholders across the business to help deliver strategically important deals while working closely with colleagues across functions and regions.
- Take ownership of Rule 144A and Regulation S transactions, coordinating with external counsel and positioning yourself as a trusted point person on securities law and disclosure matters.
- Prepare, review, and negotiate core transaction documents, ensuring Company's legal expertise underpins some of its most significant market activity.
- Manage all aspects of liability management transactions, including tender offers, exchange offers, and consent solicitations, providing hands‑on legal leadership on time‑sensitive matters.
- Identify legal and structural considerations supporting the development of securitization products, including ABS, RMBS, CMBS, and CLOs, while advising on evolving disclosure and regulatory requirements under 144A/Reg S and Reg AB II.
- Partner with Compliance and internal Legal colleagues to monitor regulatory developments, support internal training initiatives, and contribute to updates of policies and procedures to keep Company aligned with changing requirements
Qualifications
- Juris Doctor
- 6+ YOE of relevant law firm or in-house experience
- Strong understanding of Rule 144A/Regulation
- Strong contract drafting and negotiation skills with issuers, underwriters and trustees
- New York Bar Admission
