Associate General Counsel - Securities & Corporate
We are partnering with a Global Technology Company that provides AI, Cloud, Security, and Analytics solutions as they are looking to fill an Associate General Counsel position for their Legal team. This individual will play a lead role in managing their securities filings and relevant regulatory matters, as well as owning corporate governance work for the firm. This is a high visbility role that will involve frequent interaction with C-level stakeholders and will put you in a high-impact seat for the firm. The firm operates on a hybrid basis and the Legal team is known for strong employee retention rates due to a collaborative culture.
Responsibilities:
- Advise on compliance with U.S. federal and state securities laws, including SEC and stock exchange requirements.
- Draft and review periodic filings (Form 10-K, 10-Q, 8-K, proxy statements) and assist with earnings releases and investor communications.
- Advise the Board of Directors and senior management on governance matters, including fiduciary duties and evolving best practices.
- Prepare and maintain corporate records, board and committee materials, and governance policies.
- Work closely with finance, investor relations, HR, and compliance teams to align legal strategies with business objectives.
Qualities:
- J.D. from an accredited law school; active membership in good standing with at least one U.S. state bar.
- 10+ years of relevant legal experience, including securities law and corporate governance (preferably in-house or at a law firm).
- Excellent drafting, analytical, and communication skills.
- Ability to manage multiple priorities in a fast-paced environment.
