Associate General Counsel
A leading investment firm in Atlanta, GA is seeking a seasoned and enthusiastic legal professional with 8+ years of experience to join its legal team as Deputy General Counsel. This full-time role offers the opportunity to jump into high-impact legal work across residential mortgage whole loan transactions, RMBS securitizations, fund formation, entity governance, and capital markets. The ideal candidate is excited to contribute from day one, bringing deep expertise in financial structuring, legal documentation, and cross-functional collaboration, along with a proactive, solution-oriented mindset.
Responsibilities:
- Negotiate, draft, and manage Mortgage Loan Purchase Agreements (MLPAs) for whole loan sales, ensuring consistency with financing and securitization terms.
- Lead legal diligence and documentation efforts for warehouse lending structures, coordinating with internal teams across legal, operations, accounting, risk, and trading.
- Oversee RMBS securitization processes, including engagement with capital markets counterparties and external counsel, and review of offering and disclosure materials.
- Support fund formation and strategy launches, including drafting investment management agreements, subscription documents, custody agreements, and trust agreements.
- Provide legal support for capital markets activities, including ATM programs, debt issuances, and equity compensation documentation, while coordinating Section 16 filings.
- Manage entity governance processes, including board action tracking, governance calendars, and preparation of board and committee meeting materials.
Required Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Active license to practice law in good standing.
- 6+ years of legal experience in structured finance, RMBS, fund formation, and/or whole loan and financing transactions.
- Strong commands of legal documentation, financial instruments, and regulatory frameworks.
- Demonstrated ability to manage complex legal projects independently and lead cross-functional initiatives.
