Role Overview
The Assistant General Counsel will provide legal support across a range of corporate and transactional matters, with a strong emphasis on capital markets, lending transactions, and deal execution. This role is ideal for a detail-oriented attorney who thrives in a fast-paced, entrepreneurial environment and enjoys working on complex financial deals.
Key Responsibilities
- Advise on capital markets transactions, including structuring, documentation, and regulatory compliance.
- Oversee loan closings, ensuring accuracy and timely execution of agreements.
- Conduct and manage deal due diligence for financing and strategic transactions.
- Draft, review, and negotiate a variety of agreements, including credit facilities, security agreements, and related documentation.
- Collaborate with internal teams (finance, compliance, operations) and external counsel to support business objectives.
- Monitor and interpret relevant laws and regulations impacting lending and financial services.
Qualifications
- J.D. degree from an accredited law school; admitted to practice in at least one U.S. jurisdiction.
- Minimum 4 years of experience in a law firm or in-house legal department, focusing on:
- Capital markets transactions
- Loan closing processes
- Deal due diligence
- Strong understanding of financial services regulations and lending structures.
- Excellent drafting, negotiation, and communication skills.
- Ability to manage multiple priorities in a dynamic environment.
