The M&A department is known for its strategic approach, technical precision, and ability to navigate complex cross-border deals.
Key Responsibilities
- Represent private equity firms and public/private companies in mergers, acquisitions, divestitures, joint ventures, and other strategic transactions.
- Draft and negotiate purchase agreements, shareholder agreements, operating agreements, and ancillary deal documents.
- Conduct and oversee due diligence processes, including risk assessment and mitigation strategies.
- Coordinate with tax, finance, antitrust, and regulatory teams to ensure seamless transaction execution.
- Advise clients on corporate governance, structuring considerations, and post-closing integration matters.
Qualifications
- J.D. from a top-tier law school.
- 4-6 years of experience in M&A and/or private equity transactions at a leading law firm.
- Strong drafting, negotiation, and analytical skills.
- Ability to manage multiple transactions and deadlines in a fast-paced environment.
- A team-oriented mindset with a commitment to client service and excellence.
